Term:                                     12 months with rolls & extensions

Contract:                              To be agreed by and between the parties hereto

Price                                   USD 520 gross/USD 530 per MT net to the buyer

Commission                       USD 5  ( Seller side closed) and 5 USD Buyer Side open

Payment:                               DLC irrevocable, confirmed, divisible, non-transferable, revolving, DLC 100% payable at discharge port and as agreed between the parties hereto-partial payment allowed.

Performance bond:             2% to be put in place duly by the Seller

Inspection:                            By SGS for Quantity, Quality and SGS presence at time of loading and verification thereof.

Transaction Procedure:      1) Seller issue Full Corporate Offer,

                                            2) Buyer issue Irrevocable Corporate Purchase Order,

                                            3) Buyers bank send Ready Willing Able RWA SWIFT MESSAGE

                                                to the bank of Russian supplier (Bank details will be given by  

                                                the seller upon ICPO receipt),

                                           4) Russian suppliers bank send to the buyers bank Proof of

                                                Product,

                                           5) Sales and Purchase Agreement is signed and sealed by the  

                                               seller and by the buyer,

                                           6) Russian suppliers bank issue non-operative 2% Performance

                                               bond,
