STANDARD CONTRACT PROCEDURES

1.     BUYER issues LOI and SOFT PROBE

2.     SELLER issues FCO 

3.     BUYER signs FCO and sends to SELLER within 48 hours via e-mail or facsimile with complete BUYERS name duly signed and sealed with draft L/C attached.

4.     Within 72 hours after the remittance of the signed FCO to the SELLER, the SELLER will send the Draft Contract to the BUYER by e-mail, for him to review. Concluded reviews, the BUYER will return the draft contract duly signed and sealed to the SELLER by e-mail within 48 hours with draft L/C attached.

5.     SELLER will issue 4 (four) hard copy of this contract sign and seal and send to the BUYER per courier service and 1 (one) copy by e-mail. BUYER in turn, within 48 hours, will sign and seal the hard contract and send back to the SELLER 2 (two) copies per courier service and 1 (one) copy  by e-mail. Said signed contracts being exchanged electronically will be deemed as original and is legally binding until hard copies are exchanged by Courier - DHL or other.

6. Within 24 hours after BUYER and SELLER receive the hard contract, they will lodge the contract with the respective banks.

 7.    Within 4 (four) working days after the date of the presentation of the hard contract in the bank, the BUYER's bank issues Proof of Funds for the amount covering current transaction to the SELLERS bank and SELLERS Bank issues in exchange  official POP (Prove of Product) to BUYERs Bank with in maximum of 4 days.

 8.    After confirmation of POF and POP, within 4 working days SELLERS Bank issues Pre Advised 2% PB of the contract value.

9.     Within 4 banking days after, the BUYERS bank issues a non operative L/C.

10.  Within 5 banking days, the SELLERS Bank issues an operative 2% PB which will activate the non operative L/C.

11.  Payment terms

        *      RDLC that is either transferable or non-transferable

12.  Port of shipment is at SELLERs option for monthly contract option; Santos, Brazil for 25,000 MT spot order
